These following terms and conditions apply to individuals who are accessing or using the Program both as a merchant (“we” or “merchant”) and an affiliate (“you” or “affiliate”) who refers customers to use product or service from the merchant.
By participating in the Program, Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorized to register as an Affiliate or participate in the Program in any manner.
1. Approve or Reject of the Registration
We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
2. Affiliate Links and Coupon
Affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.
Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If customer both click on the affiliate link and use coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you’re not allowed to promote the coupon.
Affiliate may also advertise merchant website on online channels such as Facebook, Instagram,... or offline classified channel ads, magazines, and newspapers.
3. Commissions and payment
Refer any customer to make a purchase on our website, you will get a commission amount which is calculated based on Commission structure. Commission amount is dependent on order value and not including extra fee (tax, shipping cost,...).
For an Affiliate to receive a commission, you need to specify the payment details on Settings. Payment schedule will be notified on Affiliate Guide page.
Payments will only be sent for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of commission if displayed in Commission tab, any paid commission will be listed on Payment tab. Transactions that result in charge backs or refunds will not be paid out.
4. Marketing tool
We may share promotion media such as banner, logo or specific collection promotion to you through Marketing tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels.
5. Network
If Network tab is activated, affiliate can invite others to become their downline affiliate. If any downline affiliate brings order to merchant shop, upline affiliate will also get network commission which depends on merchant settings.
To invite other affiliates into the system, share network link and any other affiliate who click on that link and sign up will become a downline affiliate.
6. Cookie
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.
Cookies day is said on the Affiliate registration form. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There’s no need for the customer to click on the affiliate link then).
We are located in Virginia but do not currently meet the threshold to require us to comply with CDPA cookie law. .
We do not meet the threshold to have to comply with California's cookie law CCPA or CPRA.
7. Removal from Referral Program
If an affiliate wishes to be removed from the affiliate program, they can do so by contacting: info@oceaneva.com. We reserve the right to remove an affiliate rom the program at anytime without notice.
8) Additional Terms
US CITIZENS: The IRS requires a W9 to be filled out by you for earning at $600 or higher in a calendar year. We DO NOT require a W-9 be filled out to sign up for the program to start earning commissions until such time as your total earnings in a calendar year reach $599 at which point we will reach out and send you a W-9. No further earnings will be released to you beyond $599 until a filled out W-9 Is received back from you. If not received back within 30 days any earnings beyond $599 will be forfeited and you will be removed from the program. In addition W-9 will be rejected if turned into us requiring that we withhold taxes on your behalf. You are responsibly for you own tax payments to the IRS and we will not be doing any withholding for affiliates due to the extra accounting burden it would place upon us. If your earnings reach or exceed $600 in a calendar year a 1099-NEC will be issued to you in accordance with US tax law.
NON US CITIZENS: The USA IRS(Tax Agency) requires a W-8BEN to be filled out by you for earning at $600 or higher in a calendar year. We DO NOT require a W-8BEN be filled out to sign up for the program to start earning commissions until such time as your total earnings in a calendar year reach $599 at which point we will reach out and send you a W-8BEN. No further earnings will be released to you beyond $599 until a filled out W-8BEN Is received back from you. If not received back within 30 days any earnings beyond $599 will be forfeited and you will be removed from the program. In addition W-8BEN will be rejected if turned into us requiring that we withhold taxes on your behalf. You are responsibly for you own tax payments to your government and we will not be doing any tax withholding for affiliates due to the extra accounting burden it would place upon us. If your earnings reach or exceed $600 we do not notify your government of your earning in any way. The W-8BEN we simply must keep on file for our IRS in case of audit.
9)You also agree by participation that you are not an employee but an independent, self employed contractor. You also agree that any legal dispute arise from this program will be adjudicated in court system if Campbell County Virginia, USA.
10)You also agree by participation not to break the law. This is in regards to any and all affiliate laws in the country you reside or the country in which you are doing affiliate activities. You also agree not to embarrass the brand or otherwise defame it in any way. If you have to ask if it's ok then don't do it is a good rule to follow.
11) RUNNING ADS: Running any type of click ads such as but not limited to Google Adwords or Bing is strictly prohibited without express permission and any referrals obtained this way will not be paid out and the affiliate will be removed from the program
11) Program changes: We reserve the right to change or stop the program at anytime without notice. This includes lowing the % rate paid out to affiliates for referrals. By signing up you agree to these terms.
12) Audit:
We reserve the right to conduct compliance audits of your referral activities at any time to ensure adherence to our program guidelines. By participating in the program, you agree to cooperate fully with any such audit. You must provide a detailed response and all requested information within ten (10) business days of our request. Requested documentation may include, but is not limited to, traffic sources, copies of the specific landing pages where potential customers are directed, or a comprehensive explanation of how your promotional coupon codes are distributed and obtained by customers.
Termination and Forfeiture of Rewards
We reserve the right, in our sole discretion, to remove any participant from the program at any time, with or without cause. Grounds for immediate termination include, but are not limited to:
- Engaging in marketing practices that fail to reflect our brand in a professional or positive manner.
- Failing to cooperate with a referral audit.
- Withholding details or providing misleading information regarding customer acquisition methods.
If you are removed from the program for non-compliance, uncooperative behavior, or a violation of these guidelines, all pending, accrued, or approved referral commissions and rewards will be permanently forfeited and will not be paid out.
